Terms of Service

1. Agreement to Terms

By accessing or using F3L1X ("the Platform", "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

F3L1X is operated by F3L1X Technology ABN [TBD] ("Company", "we", "us", "our"), based in Melbourne, Australia.

2. Service Description

F3L1X provides a Dashboard as a Service (DaaS) platform for AI orchestration infrastructure. The Platform enables users to:

• Deploy and manage AI agent microservices
• Orchestrate AI workflows on local or cloud infrastructure
• Purchase tools and modules from the marketplace
• Access documentation and support resources

Philosophy: "Don't Rent Your Business. Own It." - F3L1X provides sovereign AI infrastructure where users own their data, agents, and outputs.

3. Sovereign Software License Agreement (SSLA)

Unlike traditional SaaS licenses that "rent" you access, F3L1X uses a Sovereign Software License Agreement that treats the software as your personal data center.

3.1 Grant of License

Subject to your subscription tier and these Terms, F3L1X grants you a non-exclusive, non-transferable license to:

• Host the "Realm Master" on your own hardware or cloud infrastructure
• Use the Platform's build functions to generate, modify, and deploy unlimited microservices ("Realms") within your private infrastructure
• Access documentation, updates, and support according to your subscription tier

3.2 Ownership of Output

You own what you build. All code, configurations, and outputs generated through the F3L1X orchestration layer are your exclusive property, provided that you exercise "Substantial Human Oversight" as defined by applicable AI regulations including the EU AI Act.

3.3 BYOK (Bring Your Own Keys)

For AI inference, you provide your own API keys (Claude, OpenAI, etc.). F3L1X does not store, access, or manage your API keys. You are responsible for:

• Securing your API keys
• Managing your API usage and costs
• Complying with your AI provider's terms of service

Since F3L1X provides self-building infrastructure, responsibility is shared:

5. Subscription Tiers

5.1 Available Tiers

• Seed ($50/month): 1 microservice, BYOK model, community documentation
• Elevated ($500/month): 50+ microservices, Claude Code Max included, 2 hours/month support
• Apex ($800/month): 70+ microservices, weekly syncs, mobile early access
• Enterprise ($5,000+/month): Air-gapped deployment, on-site installation, custom compliance

5.2 Billing

• Subscriptions are billed monthly in advance
• Payment is processed securely via Stripe
• Prices are in USD unless otherwise specified
• We may change pricing with 30 days notice

5.3 Cancellation

• You may cancel your subscription at any time
• Access continues until the end of your billing period
• You may export all your data before cancellation
• No refunds for partial months

6. Marketplace Terms

6.1 Purchasing Tools

• Marketplace tools are one-time purchases unless stated otherwise
• Purchases are non-refundable except where required by law
• Tools are licensed, not sold - you receive a license to use
• License keys are provided for activation

6.2 Selling Tools

If you sell tools on our marketplace:

• You receive 80% of sales revenue; F3L1X retains 20% platform fee
• You grant F3L1X a license to distribute and market your tools
• You warrant that your tools don't infringe third-party rights
• You are responsible for support of your tools

7. Acceptable Use Policy

You agree NOT to use F3L1X to:

• Generate malware, viruses, or malicious code
• Create content promoting violence, hate, or illegal activities
• Attempt to "jailbreak" or circumvent AI safety measures
• Violate any applicable laws or regulations
• Infringe intellectual property rights of others
• Engage in unauthorized access to systems or data
• Resell or redistribute the Platform without authorization

Violation of this policy may result in immediate termination of your account.

8. Intellectual Property

8.1 F3L1X Property

The Platform, including its code, design, documentation, and branding, is owned by F3L1X Technology and protected by intellectual property laws.

8.2 Your Property

You retain ownership of:

• Code and outputs you generate using the Platform
• Your configurations and customizations
• Your business data and documents
• Tools you create and sell on the marketplace

8.3 Build Intelligence

F3L1X may use anonymized, aggregated patterns from platform usage to improve the service. This does not include your proprietary code or data.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Accuracy or reliability of AI-generated outputs

You acknowledge that AI-generated code may contain bugs, security vulnerabilities, or errors. You are responsible for reviewing and testing all outputs before production use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• F3L1X's total liability is limited to the amount you paid us in the 12 months preceding the claim
• F3L1X is not liable for indirect, incidental, special, consequential, or punitive damages
• F3L1X is not liable for loss of profits, data, business opportunity, or goodwill
• F3L1X is not liable for damages arising from user-generated code or AI outputs

Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless F3L1X from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Code or content you generate or distribute
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

• You may terminate your account at any time
• We may suspend or terminate your account for violation of these Terms
• Upon termination, you may export your data within 30 days
• Provisions regarding IP, liability, and indemnification survive termination

13. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes shall be resolved in the courts of Victoria, Australia, unless prohibited by your local consumer protection laws.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via:

• Email to registered users
• Notice on our website
• 30 days advance notice for material changes

Continued use of the Service after changes constitutes acceptance of the new Terms.
